These Terms of Service are a template provided for general informational purposes and must be reviewed and customized by qualified legal counsel before AriesView relies on them in production or at launch. They do not constitute legal advice.
These Terms of Service (the “Terms”) form a binding agreement between you and AriesView (“AriesView,” “we,” “us,” or “our”) governing your access to and use of the AriesView platform, websites, and related services (the “Service”). By accessing or using the Service, or by accepting these Terms on behalf of an organization, you agree to be bound by them. If you do not agree, you may not use the Service.
AriesView provides an AI-native SaaS platform that helps commercial real estate (CRE) teams accelerate acquisitions diligence by reading, structuring, and analyzing deal documents such as leases, rent rolls, and financial statements. Features may include document extraction, lease abstraction, rent-roll validation, document matching, risk surfacing, and exportable analysis, with human-in-the-loop review. We may modify, add, or remove features over time.
To use the Service you must register for an account or be provisioned one by your organization. You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity under your account. As between you and AriesView, you retain all right, title, and interest in the documents and data you upload to the Service (“Customer Content”), including your deal documents. AriesView does not claim ownership of your Customer Content. You grant AriesView a limited, non-exclusive, worldwide license to host, store, process, and transmit Customer Content solely as necessary to provide, secure, and improve the Service for you, and as otherwise described in our Privacy Policy. You represent that you have all rights and permissions necessary to upload Customer Content and to grant this license.
The Service uses artificial intelligence to generate extractions, summaries, analyses, and other outputs (“AI Outputs”). AI Outputs are provided “as is” and may contain errors, omissions, or inaccuracies. AI Outputs are intended to assist, not replace, your professional judgment, and require human review and validation before you rely on them. AI Outputs do not constitute financial, investment, legal, tax, accounting, or other professional advice, and AriesView is not a fiduciary, broker, or advisor. You are solely responsible for any decisions you make based on the Service.
Paid plans are billed in advance on a recurring basis (e.g., monthly or annually) as described at the time of purchase or in your order. Unless otherwise stated, subscriptions renew automatically for successive periods until cancelled. Fees are non-refundable except as required by law or expressly stated. We may change pricing on prospective renewal with reasonable notice. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of access.
Each party may have access to the other’s confidential information. The receiving party agrees to use the disclosing party’s confidential information only to perform under these Terms and to protect it using at least reasonable care. Customer Content is your confidential information. Confidentiality obligations do not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.
The Service and all AI Outputs are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. AriesView does not warrant that the Service will be uninterrupted, error-free, or secure, or that AI Outputs will be accurate or complete.
To the maximum extent permitted by law, AriesView and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Service or these Terms, even if advised of the possibility. AriesView’s total aggregate liability for any claim arising out of or related to these Terms will not exceed the amounts you paid to AriesView for the Service in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless AriesView and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Customer Content, your use of the Service, or your breach of these Terms or violation of applicable law or the rights of any third party.
You may stop using the Service at any time and cancel your subscription as described in your plan. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure for AriesView, or if we discontinue the Service. Upon termination, your right to use the Service ceases. Sections that by their nature should survive — including ownership, confidentiality, disclaimers, limitation of liability, and indemnification — will survive termination. We will make Customer Content available for export for a limited period as described in our policies, after which it may be deleted.
These Terms are governed by the laws of the jurisdiction in which AriesView is established, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction and venue of the courts located in that jurisdiction, except where prohibited by applicable law. (The specific governing law, venue, and any arbitration provisions should be finalized by legal counsel before launch.)
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
